

License Agreement
IF YOU DO NOT AGREE WITH THE TERMS, YOU SHOULD RETURN THE PACKAGE
TO LODE DATA CORPORATION WITHIN FIFTEEN (15) DAYS.
1.0 DEFINITION OF TERMS USED IN THIS LICENSE AGREEMENT
1.1 SOFTWARE refers to the computer-aided software developed by Lode Data Corporation
1.2 CUSTOMER refers to the individual or corporate purchaser/user of the SOFTWARE.
1.3 LICENSE refers to this agreement and the rights and obligations it creates under applicable laws including without limitation the United States Copyright Law and Colorado Laws.
1.4 HARDWARE LOCK refers to the USB key that is delivered with the SOFTWARE.
2.0 TERM
2.1 The SOFTWARE LICENSE agreement shall commence upon purchase or installation of the SOFTWARE. LODE DATA CORPORATION under the provisions of Paragraph 5.1 below may terminate this agreement.
2.2 LODE DATA CORPORATION grants to the CUSTOMER, the right to use the SOFTWARE on a single computer as long as the CUSTOMER complies with the terms of this LICENSE agreement.
2.3 This LICENSE terminates if you fail to comply with any provisions of this agreement.
You agree upon termination of the LICENSE to return the SOFTWARE and HARDWARE LOCK.
3.0 PAYMENT
3.1 Payment is due according to the terms of the invoice.
4.0 LIMITED WARRANTIES/LIMITATION OF LIABILITY
4.1 The CUSTOMER shall notify LODE DATA CORPORATION in writing of any suspected error or defect in the SOFTWARE, together with available documentary evidence. Lode Data Corporation will review the suspected errors or defects submitted by the CUSTOMER.
4.2 LODE DATA CORPORATION does not represent, warrant, or covenant service results, or that all errors or defects shall be corrected. LODE DATA CORPORATION makes no warranties or representations of any kind, character, or nature with respect to the SOFTWARE or its performance except as set forth herein. LODE DATA CORPORATION makes or gives no warranties, conditions or guarantees, expressed or implied, statutory or otherwise including, without limitation, those relating to merchantability or fitness for intended or particular use, and all warranties (except those which may not be lawfully excluded) are hereby excluded.
4.3 LODE DATA CORPORATION shall not be liable to the CUSTOMER or any third-party under the contract or otherwise for any loss or damage, whether direct or indirect including, without limitation, any lost profits, special, incidental or consequential damages, whether caused by negligence of LODE DATA CORPORATION or otherwise arising by, resulting from, or in connection with the use, possession or performance of the SOFTWARE. Any liability Lode Data Corporation shall be limited to the support fees received by LODE DATA CORPORATION for such proven defective SOFTWARE or the replacement of proven defective SOFTWARE, from which such liability directly arises, as LODE DATA CORPORATION shall in its sole discretion choose.
4.4 Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the Software.
4.5 Hardware Lock or Dongle. A Hardware Lock (aka "Dongle" or "Security Key") is required to operate software. Any attempt to bypass, eliminate, or otherwise circumvent Hardware Lock is expressly prohibited. Violators will be prosecuted under all applicable Federal and Global Copyright and Piracy laws.
5.0 TERMINATION AND SUSPENSION
5.1 LODE DATA CORPORATION may terminate this agreement immediately upon written notice, if the CUSTOMER fails to pay for the SOFTWARE within the terms of Paragraph 3.
6.0 MISCELLANEOUS
6.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado. Any action relating to this Agreement will be instituted in the State of Colorado or Federal Court .
6.2 This Agreement shall be severable, if any provision conflict with local law, and the invalidity of any one or more of the provisions of License shall have no effect on the other provisions of LICENSE which shall remain in full force and effect.
6.3 LICENSE transfers are not allowed.
